New law on structural modifications of Mercantile Companies

Last June 29th, Royal Decree-Law 5/2023, of June 28th, was published in the Official State Gazette, adopting and extending certain measures to respond to the economic and social consequences of the war in Ukraine, to support the reconstruction of the island of La Palma and other situations of vulnerability; to transpose European Union Directives on structural modifications of commercial companies and the reconciliation of family and professional life of parents and caregivers; and to implement and comply with European Union Law. 

This new Royal Decree-Law, among other provisions, modifies the legal regime of structural modifications of commercial companies, both internal and cross-border, and repeals Law 3/2009, on structural modifications of commercial companies.  

We make a brief summary of the most relevant changes of the new regime that adapts the structural modifications to the so-called "Mobility Directive" (2019/2121/EU) establishing a harmonized legal framework among the member countries of the European Union:
